Terms of Service — Tradie Assistant

1) About these Terms

These Terms govern your access to and use of Tradie Assistant Digital (“we”, “us”, “our”), the business behind Tradie Assistant - including our website and app features: Smart Tools, Smart Chat, Smart Vision, and Smart Assistant. By using the Service, you agree to these Terms and our Privacy Policy. If you’re using Tradie Assistant on behalf of a business, you confirm you have authority to bind the business.

2) Key definitions

Service: the Tradie Assistant website, app, and named features.
Smart Tools: our six focused tools (Terms & Conditions Generator, Proposal & Estimate Builder, Scope Guard Day Log, Review Responder, Social Post Generator, Email Template Generator).
Exports: outputs you generate from Smart Tools, including optional Word (.docx) downloads.
Smart Chat: AI chat for general guidance and drafting.
Smart Vision: photo-based diagnostics and visual Q&A.
Smart Assistant: answers that can cite from manuals/guides/standards, including documents you upload.
Uploads: files you attach to Smart Assistant requests (e.g., manuals, guides, standards, PDFs, images).
Vector store: a retrieval index (embeddings) used to find relevant passages from Uploads.
Subscription: a paid plan billed by period; Free Trial: a 14-day trial on paid tiers.

3) Accounts & eligibility

Keep your login secure. You’re responsible for activity under your account.

Each subscription is for one user and one login. Shared logins are not allowed. If we detect or suspect account sharing, we may suspend or terminate access. If you need multi-user or business pricing, contact us and we’ll work out a plan that fits your team.

4) Subscriptions, free tier & trials

Free plan: includes the six Smart Tools.
Paid tiers: Smart Chat + Smart Vision (tier 2) and Smart Assistant (tier 3). Pro includes Word (.docx) downloads for Smart Tools outputs. 14-day free trial on paid tiers.
Billing: handled by Stripe; plans auto-renew unless cancelled before renewal.
Cancellation: you can cancel anytime; access continues until the end of the current billing period.
Refunds: no pro-rata refunds for partial periods.

5) Acceptable use

Don’t upload unlawful content or content you don’t have the right to use.
No attempts to attack, disrupt, scrape, or reverse engineer the Service.
Follow applicable laws, industry standards, and safety codes when using outputs.
Don’t resell, sublicense, or misrepresent our Service without permission.

6) AI outputs & professional responsibility

AI Disclaimer. Tradie Assistant uses artificial intelligence to generate content and provide information. Outputs can be incorrect or incomplete.

Outputs are for informational purposes and productivity support - not a substitute for professional advice (including legal, financial, compliance, medical, or psychological).
We do not guarantee that Tradie Assistant will be error-free, uninterrupted, or that AI outputs will always be accurate.
You must verify outputs before relying on them in real-world situations and remain responsible for compliance with applicable codes and standards.
We don’t access or review your prompts, outputs, or files unless you explicitly share them with support.

7) Smart Assistant — Uploads & vector store

Ownership: you retain ownership of your Uploads.
Third-party content: the Library may include manuals, standards, and guides sourced from third parties. We don’t author or own those materials and provide them as a convenience.
Use at your own risk: Library materials are provided “as is”. We don’t warrant accuracy or currency and accept no liability for use of, or reliance on, third-party documents.
No library UI: we don’t provide a file-management screen. Uploads are used behind the scenes to answer your request.
Rights & permissions: you represent and warrant you have the right to upload and use any Upload (including manuals, standards, or PDFs). If a file is sourced from the internet or a third party, you confirm it is authorised for your use, sharing, and processing in the Service. You must not upload content that infringes copyright or other rights.
Limited licence to us: you grant us a licence to host, index, process, transform, and display excerpts from your Uploads within your account to provide Smart Assistant (and to allow your team to use them, if teams are enabled).
Processing & retrieval: to find relevant passages quickly, Uploads may be indexed in a vector store (retrieval index). Where possible, answers may include citations to page numbers/filenames.
No warranty of accuracy or currency: Uploads and Library content are provided “as is”. Standards and manuals can change; it’s your responsibility to verify you’re using the latest applicable version.
Professional responsibility: Smart Assistant is an aid, not a certifying authority. You must independently verify measurements, installation steps, and safety requirements before performing any work.
Manufacturer terms: any disclaimers contained within a third-party Upload apply and are incorporated by reference.
AI interpretation: AI search and summaries can misinterpret or omit context. Always refer to the original file text to confirm requirements.
Deletion: removing a file from a request stops it from being used in that session. You can also ask support to delete Uploads. Note that file deletion and index lifecycle are separate processes, and some indexes may have inactivity-based expiry.
Confidentiality: we don’t make your private Uploads public or sell them. You confirm you have rights to upload them and won’t include personal data if you opt in to sharing.
Removal: we may remove or disable access to Uploads if we reasonably believe they infringe rights, violate these Terms, or if we receive a valid complaint.
Liability: you’re responsible for decisions made using Uploads or outputs. We’re not liable for losses arising from reliance on uploaded files or AI responses.

8) Third-party services

OpenAI APIs: we send prompts and (where you choose) relevant snippets to OpenAI to generate outputs. OpenAI states API/business data isn’t used to train models by default; API logs are typically retained about 30 days for abuse/safety before removal (unless legally required to retain longer). Supabase: authentication and managed Postgres store account and app data.
Stripe: payments and subscription management.

9) Privacy

Our handling of personal information is described in the Privacy Policy, which forms part of these Terms.

10) Service changes, availability & betas

We may add, change, or discontinue features. From time to time we may offer beta/experimental features that may be unstable or withdrawn. The Service may be unavailable during maintenance or incidents.

11) Intellectual property & feedback

We own all rights in the Service and our brand. You own your content and Uploads. If you give us feedback or suggestions, you grant us a royalty-free licence to use them to improve the Service.

12) Warranties & disclaimers; Australian Consumer Law

Except for guarantees that can’t be excluded under the Australian Consumer Law, the Service is provided “as is”. We don’t warrant that outputs will meet your requirements or be error-free. Nothing in these Terms limits your non-excludable consumer rights.

13) Limitation of liability

To the fullest extent permitted by law:

We are not liable for any damages resulting from the use or inability to use Tradie Assistant.
We do not guarantee that Tradie Assistant will be error-free, uninterrupted, or that AI outputs will always be accurate.
Your sole remedy for dissatisfaction with the Service is to stop using the Service.
Liability cap: for paid users, our total liability is capped at the fees you paid to us for the Service in the 12 months before the claim arose; for free-tier users, AUD 100.
No indirect, special, incidental, punitive, or consequential loss.

14) Indemnity

You agree to indemnify and hold harmless Tradie Assistant from any claims, damages, or expenses arising from your misuse of the Service or violation of these Terms.

15) Suspension & termination

You can cancel at any time from within the app. We may suspend or terminate your access if you breach these Terms, abuse the Service, or create risk for others. We also reserve the right to terminate accounts for unusual behavior, suspected misuse of accounts, or misuse of our tools and services. Upon termination, access stops; our post-termination data handling is described in the Privacy Policy.

16) Governing law & disputes

These Terms are governed by the laws of Victoria, Australia. The courts of Victoria have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

17) Changes to these Terms

We may update these Terms from time to time. We’ll post the latest version here with the effective date above.
